Terms of Service

Version 2026-10-29 · Web3Firewall, Inc. (doing business as Prax Labs)

Plain-English summary (the full text below controls): you get a licence to call the API and use the answers inside your own product. You may not resell or redistribute the data, build or train a competing product with it, enumerate or scrape it, or share your keys. The output is intelligence, not advice; use it at your own risk. Prax's liability is capped.

1. Agreement

These Terms of Service (the "Terms") are a binding agreement between you (the individual accepting them and, if applicable, the organization you represent — "you") and Web3Firewall, Inc. (doing business as Prax Labs) ("Prax Labs", "we"). They govern your access to and use of the Prax Data Services API, MCP server, developer portal, SDKs, documentation and any data, scores, labels, narratives, alerts or other output delivered through them (together, the "Service"). By creating an account, clicking "I agree", or using the Service in any way, you accept these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind it.

2. The Service

The Service provides risk and threat intelligence about blockchain addresses, transactions, transfers and named entities, derived from Prax Labs's proprietary detection systems, third-party data and public sources. Output is informational. It is not legal, financial, compliance or investment advice, and it is not a determination that any person, address or transaction is or is not lawful, sanctioned or safe. You remain solely responsible for your own compliance obligations, screening decisions and transactions, and for any decision taken in reliance on the Service.

3. Accounts and keys

You must provide accurate registration information and keep it current. You are responsible for everything done with your account and your API keys, including by your software, agents and users. Keys are secrets: do not publish them, embed them in client-side code, or share them with third parties. You may hold one account per person or organization; creating multiple accounts to circumvent plan limits, verification or any restriction is prohibited. We may require identity or business verification at any time.

4. Licence

Subject to these Terms and your plan, Prax Labs grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to call the Service and to use its output inside your own products, workflows and agents for your internal business purposes or for products you offer to your own end users, in each case where the Service's output is an incidental input and not the product itself. All other rights are reserved. The Service, its data, models, detection logic, taxonomies, narratives, scores and documentation are and remain the exclusive property of Prax Labs and its licensors and are protected by intellectual-property and trade-secret law.

5. Restrictions — no resale, no competing use

You shall not, and shall not permit or assist any third party to:

(a) resell, sublicense, rent, lease, lend, distribute, syndicate, publish or otherwise make the Service or its output available to third parties as a data feed, dataset, API, list, score or report, whether or not for a fee;

(b) use the Service or its output to build, train, benchmark, improve, validate or operate any product, model, dataset, list or service that competes with, substitutes for, or is substantially similar to the Service or any other Prax Labs product, including blockchain analytics, wallet or transaction screening, sanctions screening, threat intelligence, fraud detection or compliance tooling;

(c) use the output as training data, fine-tuning data, evaluation data or retrieval corpus for any machine-learning model, except transient use by an AI agent to answer a single user request;

(d) scrape, crawl, enumerate, bulk-download, mirror, cache beyond 24 hours, or systematically extract the Service's data, registries, lists or alerts, or attempt to reconstruct any list, registry or detection rule from query results;

(e) reverse engineer, decompile, probe, or attempt to derive the source code, models, rules, thresholds, weights or data sources of the Service, or circumvent any rate limit, plan limit, credit, quota, authentication or security control;

(f) remove or alter any proprietary notice, or represent the output as your own data, your own analysis, or the data of a third party;

(g) use the Service to harass, surveil or profile individuals unlawfully, to evade sanctions, to facilitate money laundering, fraud or any unlawful activity, or in violation of export-control or sanctions law;

(h) use the Service in any application where failure could lead to death, personal injury or severe environmental damage, or as the sole basis for an automated decision with legal effect on an individual;

(i) share, publish or disclose benchmarks or comparative evaluations of the Service without Prax Labs's prior written consent;

(j) use the Service if you are, or act for, a competitor of Prax Labs, or if you are located in, or a national of, a country or territory subject to comprehensive U.S. sanctions, or are listed on any U.S. government restricted-party list.

Breach of this section is a material breach. You acknowledge that it would cause Prax Labs irreparable harm for which damages are inadequate, and that Prax Labs is entitled to injunctive relief in addition to any other remedy.

6. Attribution and output

Where the output is shown to your end users, you shall not state or imply that the data originates from anyone other than Prax Labs and shall not state or imply that Prax Labs endorses you. Prax Labs may require reasonable attribution ("Powered by Prax") on request. You may not combine the output with data from other providers in a way that attributes Prax Labs's findings to them or theirs to Prax Labs.

7. Plans, credits, fees

Usage is metered in credits as described on the pricing page. Plan limits, credit costs, features and prices may change on 30 days' notice (immediately for the Free plan). Paid plans are billed in advance, monthly, and are non-refundable except where required by law. Taxes are your responsibility. We may suspend the Service for non-payment. Free-plan access is a courtesy that may be withdrawn at any time.

8. Your data

Requests (addresses, hashes, names, parameters) and metering data are processed to deliver, secure, meter and improve the Service, as described in the Privacy Policy. You grant Prax Labs a worldwide, perpetual, irrevocable, royalty-free licence to use requests, feedback and aggregated or de-identified usage data to operate, protect and improve the Service and Prax Labs's detection capabilities. Do not send personal data of individuals beyond what is necessary for a lookup; you are responsible for having a lawful basis for any personal data you submit.

9. Confidentiality

Non-public aspects of the Service — including undocumented behaviour, rate limits, tool internals, pricing offered privately, and any information marked confidential — are Prax Labs's confidential information. You shall protect it with at least reasonable care and use it only to exercise your rights under these Terms.

10. Monitoring, suspension, termination

Prax Labs may monitor use of the Service, may rate-limit, throttle, revoke keys, suspend or terminate your account at any time with or without notice for any breach, suspected abuse, legal risk, or to protect the Service or other customers, and may terminate for convenience on 30 days' notice. You may stop using the Service at any time. On termination your licence ends immediately and you shall delete all cached output within 24 hours, except where retention is required by law. Sections 4–6 and 8–16 survive termination.

11. Disclaimer of warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAX LABS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS AND UNINTERRUPTED OR ERROR-FREE OPERATION. THREAT INTELLIGENCE IS PROBABILISTIC: FALSE POSITIVES AND FALSE NEGATIVES WILL OCCUR. YOU USE THE OUTPUT AT YOUR OWN RISK.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAX LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS AND DATA PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, FUNDS, DIGITAL ASSETS, GOODWILL OR BUSINESS OPPORTUNITY, OR FOR ANY TRANSACTION YOU EXECUTE OR DECLINE TO EXECUTE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. PRAX LABS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO PRAX LABS IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

13. Indemnity

You shall defend, indemnify and hold harmless Prax Labs and its affiliates, officers, employees, contractors, licensors and data providers from and against all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to (a) your use of the Service or its output, (b) your products, services, agents or end users, (c) any breach of these Terms, or (d) any violation of law or third-party right by you or on your behalf.

14. Export, sanctions, government use

You shall comply with all applicable export-control and sanctions laws. You represent that you are not a restricted party and will not use the Service for any restricted end use. If you are a U.S. government entity, the Service is "commercial computer software" provided with only the rights set out in these Terms.

15. Changes

We may update these Terms. Material changes are notified by email or in the portal, and continued use after the effective date (or acceptance when prompted) constitutes agreement. The version in force is the one shown on this page.

16. Governing law, disputes, general

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Any dispute shall be brought exclusively in the state and federal courts located in Delaware, and you consent to their jurisdiction, except that Prax Labs may seek injunctive relief in any court. YOU WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. Claims must be brought within one year of arising. These Terms, the Privacy Policy and any order form are the entire agreement; they supersede prior agreements and any terms in your purchase documents. You may not assign them without our consent; we may assign them freely. If a provision is unenforceable it is modified to the minimum extent necessary and the rest remains in force. No waiver is implied from any failure to enforce. Notices to Prax Labs: [email protected].
